Anthropic, the San Francisco company behind the Claude AI models, filed a registration statement on Form S-1 with the US Securities and Exchange Commission on Monday, 26 October, for its initial public offering. The company said it intends to list its Class A common stock on the Nasdaq Global Select Market under the symbol "ANT". The filing appeared on the SEC's EDGAR system at 9:00 a.m. New York time.

The size of the deal is still open. Anthropic said the number of shares to be offered and the price range have not yet been determined, and the registration statement is not yet effective, so no shares can be sold for now. Goldman Sachs and Morgan Stanley lead a long list of underwriters. According to CNBC, Anthropic had first filed confidentially with the SEC in June, which gave regulators time to review its accounts before they were made public.

The prospectus shows how fast the business has grown. Revenue rose to $16.29 billion in the first six months of 2026, from $1.16 billion a year earlier; for the whole of 2025 it was $4.59 billion. Over the same half-year Anthropic reported a net loss of $80.7 billion, which CNBC notes comes mostly from accounting charges on convertible notes whose value rose along with the company's valuation. Headcount went from about 940 at the end of 2024 to about 5,300 at the end of September 2026.

Control stays with the founders. Anthropic is a public benefit corporation, and its seven co-founders, including chief executive Dario Amodei and president Daniela Amodei, will be the only members of a "Founder LLC" holding Class F shares. Those shares carry no economic rights but 50.1% of the voting power on most matters. The company itself says its capital and governance structure has no direct precedent among public companies.

The filing comes a few months after SpaceX's Nasdaq debut, the largest IPO on record at $85.7 billion, according to CNBC. The Associated Press reported that Anthropic's offering could become the biggest initial public offering ever. The final size will only be known once the company sets its price range.
